We have adopted a dividend reinvestment plan. Both existing stockholders and interested new investors can participate in the plan. Highlights of the Plan:

• If you are an existing stockholder, you may purchase additional shares of common stock by automatically reinvesting all or any part of the cash dividends paid on your shares of common stock. There is no minimum or maximum limitation on the amount of dividends you may reinvest in the plan.
• The purchase price for newly issued shares of common stock will be the market price less a discount ranging from 0% to 5%, determined from time to time by us in accordance with the plan. The discount is initially expected to be 2%, but we may adjust that discount in our discretion at any time. This discount applies to reinvested dividends.

Please read the attached prospectus that contains detailed information about the plan. On November 18, 2009, NHP distributed a notice to the participants of the Plan announcing that the optional cash purchase component of the Plan has been suspended, effective November 27, 2009. This suspension will remain in effect until further notice.  Participants in the Plan will still be able to purchase additional shares of Common Stock by automatically reinvesting all or any part of the cash dividends paid on their shares of common stock.
